AREAS OF PRACTICE

		Steinepreis Paganin is consistently ranked 1st in Australia in providing legal advice on new listings. Our percentage of the IPO market is generally between 15-20 %, each year. We advice on many other equity offerings, including rights issues, accelerated rights issues, placements, convertible note and debt issues and share purchase plans. We assist private companies seeking to list from the seed capital stage, through due diligence, preparation of prospectus and application for admission to the ASX. We also have extensive experience in secondary market offers including rights issues, share purchase plans and placements.
Equity Capital Markets
		Our mergers & acquisitions practice forms a large part of the work that we do, and we have advised on numerous takeovers, schemes of arrangement and other transacations, small and large, in this area. We are experienced in complex bids or hostile situations and have substantial experience in commecing and defending Takeover Panel applications as well as obtaining all necessary regulatory approval and ASX and ASIC waivers relevant to mergers and acquisitions. We also regularly advise on private equity acquisitions and share or asset acquisitions and diverstments.
Mergers & Acquisitions
		We advise on the establishment and operation of private investment funds, property syndicates, listed investment companies and venture capital limited partnerships. Our services extend to all aspects of Australian Financial Services Licencing, fund establishment, structuring, capital raising, compliance and scheme registration.
Funds Management
		We advise on most aspects of energy and resources projects. Our experience incluldes hard rock mining, oil and gas related resource projects, not only in Australia but overseas jurisdictions including Asia, Europe, South America and Africa. We prepare and provide advice on various agreements including joint venture agreements, sale and purchase agreements and option agreements, different types of royalty agreements, compensation agreements, access agreements and toll treatment agreements.
Energy & Resources
		As the majority of our clients are publicly listed companies, we regularly advise on Corporations Act and ASX Listing Rule compliance issues, including drafting notices of meetings, board minutes, shareholder minutes, considering continous disclosure obligations, corporate governance, periodic disclosure obligations to ASX and the like.
